1. GRANT OF LICENSE

Subject to the terms of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, royalty-free license to use the purchased music (“Licensed Music”) in accordance with the rights granted below:

• Personal Use Rights: Licensee may use the Licensed Music for personal projects, including personal videos, background music, and offline listening.
• Resale Rights (RR): Licensee may resell the Licensed Music as-is but may not transfer or modify ownership.
• Master Resale Rights (MRR): Licensee may resell the Licensed Music and grant Resale Rights (RR) to their customers.

2. ROYALTY-FREE CLARIFICATION

The Licensed Music is provided on a royalty-free basis. This means that after purchasing the license, Licensee may use the music according to the permitted uses without any additional royalties, fees, or payments to the Licensor.

3. RESTRICTIONS

Licensee shall not:

• Modify, remix, or alter the Licensed Music.
• Claim ownership or authorship of the Licensed Music.
• Transfer, assign, or sublicense Private Label Rights (PLR) to any third party.
• Distribute the Licensed Music for free, including through free membership websites, giveaways, or promotional freebies.
• Use the Licensed Music in any illegal, unethical, or defamatory projects.

4. PERMITTED USE CASES

Licensee may use the Licensed Music for:

• Background music in videos, podcasts, and social media content (both commercial and non-commercial).
• Digital products, provided the Licensed Music is not the primary component of the product.
• Paid memberships where customers can access and download the Licensed Music.

5. PROHIBITED USE CASES

• Licensee may not use the Licensed Music on streaming services, radio, television, or film without obtaining an extended license.
• Licensee may not use the Licensed Music as part of a trademark, logo, or company branding.
• Licensee may not offer the Licensed Music in a format that allows third parties to extract, modify, or claim the music as their own.

6. COPYRIGHT & OWNERSHIP

Licensor retains full copyright ownership of the Licensed Music. This Agreement does not transfer ownership, only the specified rights for use and resale as detailed herein.

7. TERMINATION

Licensor reserves the right to terminate this Agreement and revoke Licensee’s rights if any violation of the terms occurs. Upon termination, Licensee must cease distribution and remove the Licensed Music from all platforms.

8. LIABILITY DISCLAIMER

Licensor shall not be liable for any indirect, special, incidental, or consequential damages arising from the use of the Licensed Music. Licensee is responsible for ensuring legal compliance in their usage.

9. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the State of North Carolina.

By purchasing or downloading the Licensed Music, Licensee agrees to the terms set forth in this Agreement.
